Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and UpsNode ("Company", "we", "our") governing your access to and use of the UpsNode uptime monitoring platform available at upsnode.com (the "Service").

By registering an account, accessing the Service, or clicking any "I Agree" or equivalent button, you represent that (i) you have read and understood these Terms in their entirety, (ii) you have the legal authority to enter into this agreement on behalf of yourself or the organisation you represent, and (iii) you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Service.

2. Description of Service

UpsNode is a cloud-based infrastructure and website uptime monitoring platform that performs periodic HTTP, TCP, and protocol-level checks against endpoints designated by the User, and issues real-time notifications upon detected anomalies or service interruptions. The Service is provided on a subscription basis across distinct plan tiers, each with defined feature entitlements, check intervals, and monitor count limits as published on the pricing page.

3. Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts to use the Service. If you are using the Service on behalf of a legal entity, you represent and warrant that you have full authority to bind that entity to these Terms, and references to "you" herein shall include both you individually and the entity.

4. Account Registration and Security

You are required to register an account to access the Service. You agree to provide accurate, current, and complete information during registration and to update such information promptly if it changes. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at support@upsnode.com upon becoming aware of any unauthorised access to or use of your account. We shall not be liable for any loss or damage arising from your failure to safeguard your credentials.

5. Subscription Plans and Billing

The Service is offered under the following commercial structure:

  • Free Plan: Available at no charge, subject to the feature limitations specified on the pricing page. No payment information is required.
  • Paid Plans: Billed on a monthly recurring basis. Subscription fees are charged in advance at the beginning of each billing cycle.
  • Automatic Renewal: Paid subscriptions renew automatically at the end of each billing period unless cancelled prior to the renewal date. By subscribing to a paid plan, you explicitly authorise UpsNode to charge your designated payment method on each renewal date without further notice.
  • Price Changes: We reserve the right to modify subscription fees. We will provide at least 30 days' prior written notice of any price increase. Your continued use of the Service following the effective date of a price change constitutes your acceptance of the new pricing.
  • Payment Processing: All payment transactions are processed by Lemon Squeezy, which acts as the Merchant of Record. By completing a purchase, you also agree to Lemon Squeezy's applicable terms and policies.
  • Taxes: Stated prices are exclusive of applicable taxes. You are responsible for all taxes, duties, or levies applicable to your subscription in your jurisdiction.

6. Cancellation and Refund Policy

You may cancel your paid subscription at any time through the customer billing portal accessible from your account settings. Upon cancellation, your paid plan entitlements will remain active until the conclusion of the current billing period, after which your account will automatically revert to the Free Plan. 7. Acceptable Use Policy

You agree to use the Service exclusively for lawful purposes and in accordance with these Terms. You expressly agree not to:

  • Submit endpoints for monitoring without the express authority of the endpoint owner, including third-party systems you do not own or operate.
  • Use the Service to conduct or facilitate denial-of-service attacks, load testing, or any form of network stress-testing.
  • Attempt to gain unauthorised access to, compromise, or disrupt the Service or its underlying infrastructure.
  • Reproduce, distribute, resell, or sublicense access to the Service without our prior written consent.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Use automated means to scrape, extract, or harvest data from the Service.
  • Use the Service to process or store data in violation of applicable laws, including data protection and export control regulations.

We reserve the right to investigate suspected violations of this policy and to suspend or terminate accounts found to be in breach, without prior notice and without liability.

8. Service Availability and SLA

We endeavour to maintain high service availability; however, the Service is provided on a best-effort basis. We do not guarantee uninterrupted, error-free, or continuously available service. Scheduled maintenance, force majeure events, third-party infrastructure failures, or factors beyond our reasonable control may result in service interruptions. We expressly disclaim any formal Service Level Agreement (SLA) unless separately agreed in writing. Monitoring check results are indicative only and should not be used as the sole basis for operational decisions or incident response in critical systems.

9. Intellectual Property

The Service, including all software, algorithms, designs, trademarks, logos, and content, is the exclusive intellectual property of UpsNode and its licensors, protected by applicable intellectual property laws. These Terms do not convey to you any ownership interest in the Service. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service strictly in accordance with these Terms and for the duration of your active subscription.

You retain all rights to data and content you submit to the Service. By submitting content, you grant UpsNode a limited licence to process, store, and transmit such content solely as necessary to provide the Service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF MONITORING RESULTS. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS OR THAT MONITORING DATA WILL BE COMPLETE, ACCURATE, OR TIMELY.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UPSNODE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR REPUTATIONAL HARM, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY, EVEN IF UPSNODE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY EVENT, UPSNODE'S AGGREGATE CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER OR IN CONNECTION WITH THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO UPSNODE IN THE THREE (3) CALENDAR MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless UpsNode and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to: (i) your use of the Service in violation of these Terms; (ii) your violation of any applicable law or third-party rights; or (iii) any content or data you submit to the Service.

13. Termination

Either party may terminate these Terms at any time. You may terminate by cancelling your account. We may suspend or terminate your access immediately, without prior notice or liability, if we determine in our sole discretion that you have breached any provision of these Terms, engaged in fraudulent or abusive conduct, or if required to do so by law. Upon termination, all licences granted herein shall immediately cease, and we may delete your account data in accordance with our data retention policy. Provisions of these Terms which by their nature should survive termination shall so survive.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Turkey, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Istanbul, Turkey. Notwithstanding the foregoing, we reserve the right to seek injunctive or other equitable relief in any competent jurisdiction.

15. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and UpsNode with respect to the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
  • Waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce such provision in the future.
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights freely.
  • Notices: We may provide notices via email to the address associated with your account or via a prominent notice within the Service.
